The Board of Directors of Ho Hup wishes to announce that the Company had, at approximately 3.30 pm today, been served with an ex parte injunction order obtained by the Registrar of Companies (Chief Executive Officer of the Companies Commission of Malaysia) (Ex Parte Order) in the case of Kuala Lumpur High Court Originating Summons No.: D-24NCC-67-2010 (Suit).
The First Defendant named in the Suit is Dato’ Low Tuck Choy (D1), Second Defendant named in the Suit is Low Lai Yoong (D2), Third Defendant named in the Suit is Low Chee & Sons Sdn. Bhd. (D3) and Ho Hup was named as the Fourth Defendant.
The Ex Parte Order had among others, restrained D1, D2 and D3 from exercising their voting rights over all their shares in Ho Hup at the forthcoming Extraordinary General Meeting of the Company on 17.3.2010 ("EGM") and/ or any other shareholders' meetings of the Company until the disposal of the Suit.
The Ex Parte Order had also among others –
a) restrained the Company from giving effect to any vote cast by D1, D2 and D3 through themselves and/or employees and/or agents and/or nominees on all their shares in Ho Hup at the EGM; and
b) ordered the Company not to consider any vote cast by D1, D2 and D3 through themselves and/or employees and/or agents and/or nominees in respect of all their shares in the Company at the EGM.
The Company has been advised by its solicitors that a failure to comply with the Ex Parte Order may amount to contempt of Court. |
